By accessing or using Agenda Insider ("Service"), operated by Agenda Insider LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Agenda Insider provides a real estate intelligence platform that aggregates and analyzes information from publicly available municipal planning documents, meeting agendas, and public records. The Service uses artificial intelligence and automated systems to extract, organize, and present this information.

The information provided through Agenda Insider is gathered, processed, and presented using artificial intelligence and automated systems. You acknowledge and agree that:

  • AI-Generated Content: Much of the data displayed on this Service is extracted and interpreted by artificial intelligence systems. AI can and does make errors. Information may be misinterpreted, incorrectly extracted, or entirely fabricated by the AI systems.
  • No Guarantee of Accuracy: We make NO WARRANTY, EXPRESS OR IMPLIED, regarding the accuracy, completeness, reliability, or currentness of any information provided through the Service. Data may be outdated, incorrect, incomplete, or misleading.
  • Public Records Source: Information is derived from publicly available municipal records, meeting agendas, and planning documents. These source documents may themselves contain errors, and our interpretation of them adds additional potential for inaccuracy.

4. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

5. Subscription and Billing

5.1 Free Trial

We may offer a free trial period for new subscribers. The trial requires a valid payment method. If you do not cancel before the trial ends, you will be automatically charged for the subscription.

5.2 Subscription Fees

Subscription fees are billed in advance on a monthly basis. Fees are non-refundable except as expressly stated in these Terms or required by law.

5.3 No Refunds

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not provide refunds or credits for any partial subscription periods, unused features, or dissatisfaction with the Service. The free trial period is provided so you may evaluate the Service before committing to a paid subscription.

5.4 Price Changes

We reserve the right to modify subscription fees at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price increases.

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will retain access until then but will not receive a refund for the remaining time.

5.6 Regional Subscriptions

The Service is organized by geographic regions. Your subscription grants access to specific regions based on your selected plan. Additional regions may be added to your subscription for an additional fee.

6. Acceptable Use

You agree not to:

  • Scrape or Harvest: Use any automated system, including bots, scrapers, or spiders, to access the Service for any purpose without our express written permission
  • Resell or Redistribute: Resell, redistribute, sublicense, or make the Service or any data from it available to third parties without our express written permission
  • Circumvent Security: Attempt to circumvent, disable, or interfere with security features of the Service
  • Reverse Engineer: Reverse engineer, decompile, or disassemble the Service or attempt to derive source code
  • Interfere with Service: Interfere with or disrupt the Service or servers or networks connected to the Service
  • Impersonate: Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Illegal Use: Use the Service for any illegal purpose or in violation of any laws
  • Share Accounts: Share your account credentials or allow multiple people to use a single account

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Agenda Insider LLC and is protected by copyright, trademark, and other intellectual property laws.

The compilation, organization, and presentation of data within the Service is our proprietary work. While the underlying source data may be public record, our analysis, extraction, organization, and presentation of that data is protected intellectual property.

You may not copy, reproduce, distribute, or create derivative works from the Service without our express written permission.

8. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL AGENDA INSIDER LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data accuracy
  • Business interruption
  • Decisions made based on information from the Service
  • Failed business transactions or investments
  • Costs of procurement of substitute services

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Agenda Insider LLC and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any decisions or actions you take based on information from the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agenda Insider LLC regarding the Service and supersede all prior agreements and understandings.
